These terms govern your use of Qonda Monitor, a product of Ope Ltd ("we", "us", "Ope"). By installing or using any edition of Qonda Monitor, you agree to these terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
The on-premise edition is provided free of charge. You are granted a non-exclusive, non-transferable licence to install and use the software on your own infrastructure for any lawful purpose.
The software is provided "as is", without warranty of any kind, express or implied. Ope Ltd makes no guarantees about the accuracy, completeness, or availability of monitoring data. Use of the on-premise edition is entirely at your own risk.
The SaaS edition is a paid subscription service. A valid subscription is required to access the hosted service. Subscriptions are billed monthly in advance at the rate published on the pricing page at the time of sign-up.
Subscription fees are billed monthly to your nominated payment method. You are responsible for keeping your payment details current. If a payment fails and is not resolved within 7 days, we may suspend access to the service until payment is received.
You may cancel your SaaS subscription at any time. Cancellation takes effect at the end of the current billing period. We reserve the right to suspend or terminate a subscription for breach of these terms, with notice where reasonably practicable.
On cancellation or termination, your monitoring data is retained for 30 days and then permanently deleted. See the Refund Policy for information about refunds.

All intellectual property rights in Qonda Monitor — including the software, trademarks, and documentation — remain the property of Ope Ltd. These terms do not transfer any ownership rights to you. You may not reverse-engineer, decompile, or create derivative works from the software.
To the maximum extent permitted by law, Ope Ltd's total liability to you for any claim arising out of or related to these terms or your use of Qonda Monitor is limited to the fees you paid to Ope Ltd in the three months preceding the claim. For on-premise users (who pay nothing), this limit is NZD $0.
In no event will Ope Ltd be liable for indirect, incidental, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
We may update these terms from time to time. We will notify SaaS subscribers of material changes by email. Continued use of the service after updated terms are published constitutes acceptance of the changes.
These terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the courts of New Zealand.
